PAN CARIBBEAN TERMS AND CONDITIONS

1. About Pan Caribbean

These Terms and Conditions ("Terms") govern your access to and use of Pan Caribbean's websites, applications, property database, search facilities, subscription services, agent services, artificial intelligence features and related products and services (together, the "Platform").

References in these Terms to "Pan Caribbean", "we", "us" or "our" mean Pan Caribbean Ltd.

PART A – GENERAL TERMS

2. Acceptance of these Terms

By accessing, browsing, registering with or using the Platform, you agree to these Terms.

If you do not agree to these Terms, you must not use the Platform.

Where you create an account or purchase a subscription, you may be required to confirm acceptance electronically.

If you use the Platform on behalf of a company, agency, developer or other organisation, you confirm that you have authority to bind that organisation to these Terms.

3. Eligibility

You must be at least 18 years old to:

• purchase a subscription;

• create an agent or professional account;

• submit property listings;

• enter into a commercial arrangement with Pan Caribbean; or

• otherwise enter into a contract through the Platform.

You must provide accurate information when registering.

4. Nature of the Platform

Pan Caribbean operates a real estate search, discovery, information and technology platform covering multiple Caribbean markets.

Unless expressly stated otherwise, Pan Caribbean:

• does not own properties displayed on the Platform;

• is not the seller, landlord or developer of properties merely because they appear on the Platform;

• does not act as legal adviser to a Platform user;

• does not guarantee that a property remains available;

• does not independently inspect every property;

• does not independently verify every statement appearing in every listing; and

• is not a party to a property transaction solely because the property was discovered through the Platform.

Agents, brokers, developers, owners and other third parties may operate independently from Pan Caribbean.

Nothing on the Platform creates an agency, partnership, joint venture or fiduciary relationship between Pan Caribbean and a Platform user unless separately agreed in writing.

5. Property Information

Property information may originate from:

• estate agents;

• brokers;

• developers;

• property owners;

• property managers;

• third-party data providers; and

• other authorised sources.

Although Pan Caribbean may use reasonable processes to improve Platform quality, we do not guarantee that every listing is complete, current or error-free.

Information including:

• price;

• availability;

• property dimensions;

• land area;

• boundaries;

• tenure;

• title;

• planning status;

• rental income;

• return calculations;

• taxes;

• service charges;

• citizenship or residency eligibility;

• investment eligibility;

• legal status;

• property condition; and

• other material facts

must be independently verified before a user enters into a transaction or relies upon the information for a material decision.

Photographs, maps, floorplans, renders and measurements may be illustrative or approximate.

6. No Professional Advice

Information available through Pan Caribbean is provided for general information and property-discovery purposes.

Unless expressly agreed separately in writing, nothing on the Platform constitutes:

• legal advice;

• tax advice;

• financial advice;

• investment advice;

• immigration advice;

• citizenship advice;

• surveying advice;

• valuation advice;

• planning advice; or

• other regulated professional advice.

Users should obtain appropriate independent professional advice before entering into a property transaction or making a significant investment decision.

PART B – ACCOUNTS AND USERS

7. User Accounts

Certain features may require an account or paid subscription.

You must:

• provide accurate and current information;

• keep account information reasonably up to date;

• keep your login credentials confidential;

• not allow unauthorised persons to use your account;

• notify us promptly if you become aware of unauthorised access; and

• remain responsible for activity conducted through your account to the extent permitted by law.

You must not create accounts using false identities or misleading information.

8. Free and Paid Services

Pan Caribbean may provide different levels of access, including guest/free access and paid services.

Features available to each category may change over time.

Paid services may include additional functionality such as:

• advanced search;

• saved searches;

• alerts;

• favourites;

• property comparison;

• notes;

• artificial intelligence tools;

• property chat;

• expanded information;

• agent tools;

• analytics; and

• other premium functionality.

The precise services included in a subscription will be described at the point of purchase.

PART C – SUBSCRIPTIONS AND PAYMENTS

9. Paid Subscriptions

Where a service requires payment, the applicable:

• price;

• billing period;

• taxes;

• subscription duration;

• renewal arrangements; and

• principal features

will be displayed before purchase.

Unless expressly stated otherwise, recurring subscriptions continue for successive billing periods until cancelled.

By purchasing a recurring subscription, you authorise Pan Caribbean and its payment provider to collect the applicable recurring charges using your selected payment method until the subscription is cancelled.

10. Renewal

Where a subscription automatically renews, the user will continue to be charged at the applicable billing interval unless it is cancelled in accordance with the cancellation mechanism made available by Pan Caribbean.

We may provide renewal or reminder notices where required by law or where we consider it appropriate.

11. Cancelling a Subscription

Users may cancel recurring subscriptions using the cancellation functionality made available through their account or by contacting Pan Caribbean where appropriate.

Unless otherwise stated at purchase:

• cancellation prevents future renewal;

• access normally continues until the end of the period already paid for; and

• cancellation does not automatically create a right to a refund for a period already used.

Nothing in these Terms removes statutory cancellation or refund rights.

12. Consumer Cooling-Off Rights

If you are a consumer and applicable UK consumer law gives you a statutory cooling-off period, those rights apply in addition to these Terms.

For qualifying online service contracts, this may include a 14-day cancellation period beginning when the relevant contract is entered into.

If you expressly request that a paid service begins during a statutory cancellation period, the legal consequences of cancelling after service has begun will be determined in accordance with applicable consumer law.

Information concerning any applicable cancellation right will be provided at or before purchase where legally required.

13. Changes to Subscription Prices

We may change subscription prices.

Where an existing recurring subscriber will be affected by a material price change, reasonable advance notice will be given where required by law.

The user may cancel the subscription before the new price applies.

14. Failed Payments

If a payment cannot be collected, we may:

• retry the payment;

• request an alternative payment method;

• restrict paid functionality;

• downgrade an account;

• suspend the subscription; or

• terminate paid access.

Any outstanding contractual amounts remain payable subject to applicable law.

15. Promotions and Trial Periods

Promotional rates, discounts or free trial periods may be subject to additional conditions displayed when offered.

Unless otherwise stated, a promotional subscription may convert to the normal applicable subscription price when the promotion ends.

PART D – AGENTS, DEVELOPERS AND PROPERTY LISTINGS

16. Listing Provider Obligations

Any person submitting a property listing represents and warrants that:

1. they have authority to advertise or market the property;

2. the listing is not fraudulent or knowingly misleading;

3. material information supplied is accurate to the best of their knowledge;

4. they have all necessary rights and permissions to upload the content;

5. use of the content by Pan Caribbean in accordance with these Terms will not knowingly infringe third-party rights;

6. they will make reasonable efforts to keep material information, including price and availability, up to date;

7. they will comply with laws and professional requirements applicable to them; and

8. they will not use the Platform for unlawful, fraudulent or deceptive purposes.

17. Listing Quality and Removal

Pan Caribbean may:

• review listings;

• request additional information;

• edit formatting;

• standardise categories;

• correct obvious formatting errors;

• reject listings;

• suspend listings;

• remove duplicate listings;

• remove outdated listings; or

• remove listings that appear to breach these Terms.

Pan Caribbean is not obliged to publish every listing submitted.

18. Rights in Content Uploaded by Agents and Users

As between the user and Pan Caribbean, users retain any intellectual property rights they lawfully own in original material they upload.

By uploading or submitting content to Pan Caribbean, you grant Pan Caribbean a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to:

• host;

• store;

• reproduce;

• display;

• publish;

• distribute;

• resize;

• format;

• adapt for technical purposes;

• index;

• categorise;

• promote;

• transmit; and

• otherwise use

that content as reasonably necessary to operate, improve, market and promote Pan Caribbean and its services.

This licence includes use through Pan Caribbean websites, applications, social channels, advertisements, emails, property feeds and other promotional media.

You confirm that you have sufficient rights to grant this licence.

19. Photographs and Third-Party Materials

If photographs, videos, floorplans, text or other materials were produced by a photographer, developer, marketing company or other third party, the person uploading those materials is responsible for ensuring that their use on Pan Caribbean is authorised.

Pan Caribbean may request evidence of authorisation.

PART E – PAN CARIBBEAN INTELLECTUAL PROPERTY AND DATABASE RIGHTS

20. Ownership of the Platform

Except for third-party or user-owned content, all rights in the Platform and its operation belong to Pan Caribbean or its licensors.

This may include rights in:

• branding;

• logos;

• software;

• source and object code;

• interfaces;

• design;

• layout;

• search technology;

• algorithms;

• taxonomy;

• categorisation;

• data structure;

• compilations;

• text;

• editorial content;

• reports;

• videos;

• graphics;

• databases;

• search results;

• market information;

• proprietary metadata;

• analytical outputs; and

• other Platform materials.

All rights not expressly granted are reserved.

21. Database Rights

The selection, verification, collection, arrangement, organisation, categorisation and presentation of information on Pan Caribbean may constitute databases protected by copyright, database rights and other intellectual property laws.

Where Pan Caribbean owns or controls such rights, those rights are expressly reserved.

The fact that individual items of information may be publicly available elsewhere does not grant a user the right to copy, extract, reproduce or commercially exploit Pan Caribbean's compilation, database structure or collection of information.

22. Permitted Personal Use

Subject to these Terms, users may access and use the Platform for legitimate personal property-search purposes or legitimate professional use of the functionality provided to their account.

A user may:

• view listings;

• save properties using Platform tools;

• share individual Pan Caribbean links;

• print or retain limited information reasonably necessary for a genuine personal property enquiry; and

• otherwise use content in the ordinary manner expressly enabled by the Platform.

This limited permission does not grant any intellectual-property ownership rights.

PART F – SCRAPING, COPYING AND COMMERCIAL REUSE

23. Strict Prohibition on Scraping and Data Harvesting

Except where expressly authorised by Pan Caribbean in writing or required by applicable law, you must not use any manual or automated means to systematically access, collect, extract, obtain, monitor, reproduce or harvest information from the Platform.

This prohibition includes use of:

• robots;

• spiders;

• crawlers;

• scrapers;

• bots;

• scripts;

• browser automation;

• automated queries;

• data-mining software;

• artificial intelligence agents;

• extraction software;

• bulk-download tools;

• APIs not authorised by Pan Caribbean; and

• any comparable technology.

24. Prohibited Data Storage and Database Creation

You must not systematically download, extract, copy or store Pan Caribbean content for the purpose of:

• creating another property database;

• establishing a competing property portal;

• populating an existing portal or website;

• producing a commercial property directory;

• creating a commercial data product;

• reselling property information;

• aggregating Pan Caribbean listings;

• recreating all or a material part of the Pan Caribbean database; or

• commercially exploiting Pan Caribbean data outside the normal functionality of the Platform.

This prohibition applies whether extraction is undertaken at one time or progressively through repeated activity.

25. No Republishing with Minor Alterations

You must not copy content from Pan Caribbean and then attempt to avoid these Terms or intellectual-property protections merely by making superficial changes.

Without written permission, you must not reproduce Pan Caribbean content by:

• rewriting it;

• paraphrasing it;

• translating it;

• changing headings;

• rearranging sentences;

• replacing words with synonyms;

• altering formatting;

• cropping or editing images;

• using AI to rewrite or transform it; or

• making other cosmetic or minor modifications

and then present or commercially exploit the resulting material as your own or as independently created content.

Whether a use infringes intellectual-property or database rights ultimately depends upon applicable law, but this clause additionally forms part of the contractual conditions governing authorised access to the Platform.

26. No Commercial Reuse

Except with Pan Caribbean's prior written permission, Platform content must not be:

• sold;

• licensed;

• sublicensed;

• syndicated;

• commercially distributed;

• republished in bulk;

• incorporated into a commercial database;

• supplied as a data feed;

• used to populate another property portal; or

• otherwise commercially exploited outside the ordinary use of Pan Caribbean.

27. Artificial Intelligence and Machine Learning Restrictions

Unless expressly authorised in writing by Pan Caribbean, Platform content may not be systematically extracted or used to:

• train;

• fine-tune;

• test;

• benchmark;

• ground;

• augment;

• populate; or

• develop

an artificial intelligence model, machine-learning model, large language model, search engine, recommendation system, commercial dataset or similar technology.

This restriction does not prevent ordinary use of publicly available search engines where access is consistent with our technical controls and applicable law.

28. Circumvention Prohibited

Users must not attempt to circumvent measures designed to prevent scraping, abuse or excessive access, including by:

• rotating IP addresses;

• creating multiple accounts;

• disguising automated traffic;

• bypassing rate limits;

• defeating CAPTCHAs;

• circumventing authentication controls;

• manipulating API calls;

• evading blocks; or

• using third parties to perform conduct prohibited by these Terms.

29. Technical Enforcement

Where Pan Caribbean reasonably suspects unauthorised scraping, extraction or copying, we may:

• block IP addresses;

• restrict requests;

• limit Platform functionality;

• suspend accounts;

• terminate accounts;

• revoke API access;

• investigate usage;

• preserve relevant logs; and

• take other reasonable technical or legal measures.

30. Legal Enforcement

Unauthorised extraction, reproduction or commercial reuse may constitute:

• breach of these Terms;

• copyright infringement;

• infringement of database rights;

• misuse of confidential information;

• breach of other intellectual-property rights; or

• another civil or criminal wrong depending upon the circumstances and applicable law.

Pan Caribbean reserves all available rights and remedies, including seeking injunctive relief, damages, delivery up, an account of profits, costs or other relief where legally available.

Nothing in these Terms purports to restrict an act that cannot lawfully be restricted by contract.

PART G – ARTIFICIAL INTELLIGENCE SERVICES

31. AI Features

Pan Caribbean may provide artificial intelligence or automated functionality including:

• AI property search;

• natural-language search;

• property recommendations;

• property comparisons;

• property chat;

• listing assistance;

• description assistance;

• market information;

• analytical tools; and

• other automated features.

32. AI Outputs May Be Incorrect

Artificial intelligence can produce:

• inaccurate information;

• incomplete information;

• outdated information;

• incorrect calculations;

• inappropriate recommendations; or

• content that does not reflect the source material correctly.

AI-generated information must therefore be treated as an assistance tool and not as independently verified fact.

Users remain responsible for verifying information material to a transaction or decision.

33. No Professional Advice Through AI

AI outputs are not a substitute for qualified legal, financial, tax, investment, immigration, surveying or other professional advice.

No user should enter into a significant transaction solely in reliance upon an AI-generated response.

34. User Responsibilities When Using AI

You must not use Pan Caribbean AI functionality to:

• break the law;

• violate third-party rights;

• obtain unauthorised access;

• extract Platform data in breach of these Terms;

• generate fraudulent listings;

• impersonate others;

• circumvent Platform restrictions; or

• process information you do not have authority to provide.

PART H – ENQUIRIES, LEADS AND THIRD PARTIES

35. Property Enquiries

Where a user submits a property enquiry, Pan Caribbean may transmit that enquiry to:

• the relevant listing agent;

• developer;

• property owner;

• representative; or

• other appropriate provider.

Submitting an enquiry does not create a property contract with Pan Caribbean.

36. Third-Party Dealings

Any negotiation, viewing, reservation, deposit, purchase, sale, lease, professional engagement or other arrangement between a user and a third party is principally a matter between those parties.

Users should independently check:

• identity;

• authority;

• professional qualifications;

• ownership;

• title;

• payment instructions; and

• transaction documents

before transferring funds or entering into commitments.

37. Fraud Prevention

Users should exercise particular care before transferring deposits or purchase monies.

Pan Caribbean will never guarantee the authenticity of payment instructions issued independently by an agent, seller or third party.

Any suspicious request should be independently verified using trusted contact details.

38. Third-Party Websites and Services

The Platform may contain links or integrations operated by third parties.

Pan Caribbean does not control and is not responsible for third-party:

• websites;

• services;

• availability;

• content;

• terms;

• security; or

• privacy practices.

A link does not necessarily constitute endorsement.

PART I – ACCEPTABLE USE

39. Prohibited Conduct

Users must not:

• use the Platform unlawfully;

• commit or facilitate fraud;

• impersonate another person;

• provide deliberately false information;

• upload malicious code;

• interfere with Platform operation;

• attempt unauthorised access;

• probe Platform security without permission;

• scrape or harvest data contrary to these Terms;

• send spam;

• misuse property enquiries;

• harass agents or users;

• upload unlawful or infringing material;

• manipulate reviews;

• create fraudulent listings;

• reverse engineer protected Platform functionality except where the law expressly permits it;

• circumvent access controls;

• overload Platform infrastructure; or

• assist another person to do any of the above.

40. Reviews and User Content

Where reviews or other public contributions are permitted, they must:

• reflect genuine experience;

• not be knowingly false;

• not be defamatory;

• not infringe privacy;

• not infringe intellectual property;

• not contain unlawful discriminatory or abusive material; and

• not be submitted in return for an undisclosed improper incentive.

Pan Caribbean may moderate or remove content but is not obliged to pre-screen every contribution.

PART J – PLATFORM OPERATION

41. Availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability.

The Platform may occasionally be unavailable because of:

• maintenance;

• upgrades;

• security issues;

• technical failure;

• third-party service failure;

• internet disruption; or

• circumstances beyond our reasonable control.

42. Changes to the Platform

We may add, modify or withdraw Platform features.

Where a material change significantly affects an existing paid subscription, we will act reasonably and comply with applicable consumer law.

43. Security

Users must not attempt to compromise Platform security.

Pan Caribbean may take reasonable steps to investigate suspicious activity and protect the Platform, its users and its data.

PART K – SUSPENSION AND TERMINATION

44. Suspension

We may suspend or restrict an account where we reasonably believe:

• these Terms have been breached;

• payment is overdue;

• an account is being used fraudulently;

• Platform security is threatened;

• scraping or unauthorised extraction is occurring;

• a listing may be unlawful or fraudulent;

• third-party rights may be infringed; or

• suspension is reasonably necessary to protect users or Pan Caribbean.

Where appropriate, we may provide the user with an opportunity to remedy the issue.

45. Termination

We may terminate an account for serious or repeated breach of these Terms.

A user may stop using the Platform at any time and may cancel subscriptions in accordance with the applicable cancellation process.

Termination does not affect rights or liabilities that arose before termination.

46. Effect of Termination

After termination:

• Platform access may cease;

• listings may be removed;

• paid functionality may end;

• relevant account information may subsequently be deleted or anonymised; and

• information may nevertheless be retained where reasonably necessary for legal, financial, security or dispute purposes.

Clauses concerning intellectual property, database rights, scraping, commercial reuse, liability, indemnities and dispute resolution may continue after termination where appropriate.

PART L – DISCLAIMERS AND LIABILITY

47. General Disclaimer

To the fullest extent permitted by law, the Platform is provided on an "as available" basis.

Pan Caribbean does not warrant that:

• every listing is accurate;

• every property is available;

• every agent or user will perform their obligations;

• every AI response is accurate;

• Platform access will always be uninterrupted; or

• use of the Platform will result in a successful transaction.

48. Nothing Excludes Liability That Cannot Lawfully Be Excluded

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

This includes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation and any other liability that cannot legally be excluded or limited.

49. Consumers

If you are a consumer, nothing in these Terms affects your statutory consumer rights.

Subject to applicable law, Pan Caribbean is responsible for losses that are a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.

We are not responsible for losses that are not reasonably foreseeable or arise from independent dealings between users and third-party property providers except where the law provides otherwise.

50. Business Users

If you use Pan Caribbean wholly or mainly for business purposes, then to the fullest extent permitted by law Pan Caribbean shall not be liable for:

• loss of profit;

• loss of revenue;

• loss of business;

• loss of opportunity;

• loss of anticipated savings;

• loss of goodwill;

• business interruption; or

• indirect or consequential loss.

Unless otherwise stated in a separate written commercial agreement, Pan Caribbean's aggregate contractual liability to a business user arising from the relevant paid service shall, to the fullest extent permitted by law, not exceed the fees actually paid by that business user to Pan Caribbean for that service during the 12 months preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot lawfully be limited.

51. Business User Indemnity

If you are acting in the course of business, you agree to indemnify Pan Caribbean against reasonable losses, liabilities, costs and expenses arising from a third-party claim caused by:

• content you upload without sufficient rights;

• fraudulent or unlawful listings submitted by you;

• your material breach of these Terms; or

• your unlawful use of the Platform,

except to the extent that the loss was caused by Pan Caribbean.

PART M – PRIVACY

52. Personal Data

Our processing of personal data is governed by the Pan Caribbean Privacy Policy.

Use of cookies and related technology may additionally be governed by the Pan Caribbean Cookie Policy and cookie-preference controls.

PART N – CHANGES TO THESE TERMS

53. Changes

We may update these Terms to reflect:

• changes to law;

• Platform functionality;

• subscriptions;

• security requirements;

• technology;

• business operations; or

• new services.

The current version will be published with its effective date.

Material changes affecting existing paid users will be notified where required by law.

PART O – GENERAL LEGAL TERMS

54. Assignment

Pan Caribbean may transfer its rights or obligations under these Terms as part of a business sale, restructuring or transfer, provided that doing so does not unlawfully reduce consumer rights.

A user may not transfer contractual rights relating to an account without our consent except where applicable law provides otherwise.

55. No Waiver

If Pan Caribbean does not immediately enforce a provision of these Terms, that does not mean the provision has been waived.

56. Severability

If any provision of these Terms is held to be invalid, unlawful or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

57. Entire Agreement – Business Users

If you are a business user, these Terms together with any applicable written commercial agreement constitute the agreement governing the relevant Platform service unless expressly stated otherwise.

Nothing in this clause excludes liability for fraud or fraudulent misrepresentation.

58. Events Outside Our Control

Pan Caribbean is not responsible for delay or failure caused by circumstances outside our reasonable control, subject to any rights that consumers may have under applicable law.

PART P – GOVERNING LAW AND DISPUTES

59. Governing Law

These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales.

60. Consumers

If you are a consumer resident outside England and Wales, you may also benefit from mandatory protections of the law of the country in which you live.

Nothing in these Terms removes rights that cannot lawfully be excluded.

Consumers may be entitled to bring proceedings in courts available to them under applicable consumer and jurisdictional law.

61. Business Users

If you are acting in the course of business, the courts of England and Wales shall have exclusive jurisdiction over disputes arising from or relating to these Terms unless Pan Caribbean expressly agrees otherwise in writing.
